Hemisphere Media Group, Inc. and its subsidiaries (the "Company"), is committed to upholding sound principles of corporate governance. The Company's Board of Directors plays an integral role in overseeing the policies and procedures that ensure its corporate integrity. Any individual may submit a good faith complaint regarding financial accounting, internal control, or auditing matters without fear of reprisal or retaliation of any kind.

To facilitate the reporting of complaints, the Audit Committee of the Company's Board of Directors ("Audit Committee") has established procedures for (i) the receipt, retention, and treatment of complaints received by the Company regarding accounting, internal accounting controls, or auditing matters ("Accounting Matters"); and (ii) the confidential, anonymous submission by employees of concerns regarding questionable Accounting Matters.

If you have a problem or concern and would like to report a confidential complaint, you may report your complaint as follows:

You may call the Company's toll-free Ethics Hotline at 1-877-778- 5463 or visit (Username: Hemisphere, Password: hmtv), both of which are administered by an independent third party, to report complaints anonymously and confidentially. Your confidential complaint will be transcribed and sent to the Audit Committee or their designee for review.*

*You may request that your concern be treated anonymously and your identity be kept confidential. Using the Ethics Hotline complaint telephone number or website assures confidentiality and anonymity. All directors, officers and employees of the Company are prohibited by law from engaging in retaliatory behavior against any employee submitting a good faith concern. Examples of retaliation include the discharge, demotion, suspension, harassment or other discrimination against such employee by any director, officer or other employee of the Company. Employees who believe that they have been subjected to retaliation should immediately report the matter to the Chair of the Audit Committee through the independent and confidential Ethics Hotline number or website.
